WIREUP TERMS OF SERVICE
Last Updated: [DATE]
These Terms of Service ("Terms") govern access to and use of WireUp, operated by NovaBoard AI ("WireUp", "we", "us", or "our"). By creating an account or accessing or using WireUp, you agree to these Terms. If you do not agree, do not use the Service.
1. What WireUp Is
WireUp is an AI-powered hardware development platform for ideation, design, simulation, development, and prototyping. Features may include AI hardware ideation, component recommendations, circuit/schematic generation, hardware architecture assistance, firmware assistance, simulation, build instructions, troubleshooting, deployment tools, collaboration, and other hardware development functionality. Features may change over time.
2. Eligibility
You must be legally capable of entering into a binding agreement to use WireUp. If using WireUp for an organization, you represent that you have authority to bind it to these Terms.
3. Your Account
You agree to provide accurate information, keep it updated, protect credentials, not share your account where prohibited, report unauthorized access, and accept responsibility for activity through your account.
4. Your Projects and Content
You retain ownership of content and intellectual property you create or upload, subject to rights necessary to provide the Service. This includes schematics, circuit designs, firmware, source code, architectures, documentation, component selections, simulation configurations, and other project materials. You grant WireUp a limited license to host, store, process, reproduce, transmit, and display such content as reasonably necessary to provide the Service. This does not transfer ownership.
5. AI-Generated Output
AI output may include circuits, component recommendations, firmware, code, wiring instructions, architectures, troubleshooting suggestions, simulation configurations, and documentation. AI output may be incomplete, inaccurate, outdated, or unsuitable. You are responsible for reviewing and validating output before use. WireUp does not guarantee AI-generated designs, circuits, firmware, component selections, or instructions are error-free.
6. Hardware and Safety
WireUp is a software development platform. You are responsible for safely evaluating and testing physical hardware. Independently verify electrical connections, voltage/current requirements, component specifications, power, firmware, mechanical and thermal characteristics, safety, and regulatory requirements. Do not rely solely on WireUp-generated information for systems where malfunction could cause injury or damage. You are responsible for determining required certifications or professional review.
7. Simulation
Simulation is intended to assist development and experimentation and does not guarantee physical behavior. Differences may arise from tolerances, real-world electrical characteristics, manufacturing, environment, firmware, mechanics, hardware limitations, or incomplete models. Validate physical prototypes independently.
8. Deployment
Where deployment functionality is provided, you are responsible for selecting the correct device, reviewing code, ensuring compatibility, maintaining backups, safe connections, and confirming deployment will not damage hardware. WireUp does not guarantee deployment compatibility with every setup.
9. Acceptable Use
You may not use WireUp to violate laws; infringe rights; gain unauthorized access; distribute malware; commit fraud; circumvent security; disrupt the Service; access another user's account; upload content without rights; reverse engineer except where legally permitted; or cause harm to people or property. We may restrict or terminate access for violations.
10. Intellectual Property
The WireUp platform, software, interface, branding, logos, designs, documentation, and underlying technology are owned by or licensed to WireUp. Except as permitted by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, or exploit proprietary components.
11. Third-Party Services
WireUp may integrate with third-party services, hardware platforms, APIs, AI providers, cloud infrastructure, payment providers, and other systems. Their own terms may apply. WireUp is not responsible for third-party services it does not control.
12. Payments and Subscriptions
If WireUp offers paid plans, subscriptions, credits, hardware, or other paid services, prices and applicable terms will be presented before purchase. Applicable taxes may apply. Refunds and cancellations will follow WireUp's applicable policy and mandatory consumer protection law. [INSERT ACTUAL REFUND/CANCELLATION POLICY BEFORE PAID LAUNCH.]
13. Availability
We make reasonable efforts to keep WireUp available but do not guarantee uninterrupted or error-free operation. Outages may result from maintenance, updates, infrastructure or third-party failures, security incidents, networks, or events beyond reasonable control.
14. Changes to the Service
WireUp is continuously developing. We may modify, improve, add, or remove features. Some features may be experimental, limited, or available only to certain users.
15. Termination
You may stop using WireUp at any time. We may suspend or terminate accounts for Terms violations, security/legal risks, abuse, fraud, legal requirements, or discontinuation of the Service. Where appropriate, we may provide notice.
16. Effect of Termination
After termination, access may end. Subject to law and retention obligations, information may be deleted or retained according to the Privacy Policy and legitimate legal/business requirements. Maintain independent backups of important project files.
17. Disclaimers
To the maximum extent permitted by law, WireUp is provided on an 'as is' and 'as available' basis. We do not guarantee AI output accuracy, hardware performance, simulation equivalence, error-free firmware, component availability, universal deployment compatibility, uninterrupted availability, or suitability for every project.
18. Limitation of Liability
To the maximum extent permitted by law, WireUp and its directors, employees, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Service, including loss of data, revenue, profits, opportunities, hardware, equipment, intellectual property, or other losses. Nothing excludes liability that cannot legally be excluded. [HAVE COUNSEL SET THE LIABILITY CAP AND JURISDICTION.]
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless WireUp and its affiliates, officers, directors, employees, and service providers from claims, liabilities, damages, losses, and expenses arising from your violation of these Terms, misuse of the Service, violation of another person's rights, project/hardware, uploaded content, or violation of law.
20. Confidentiality
If you use WireUp for confidential business or engineering information, determine whether the Service is appropriate. A separate business or enterprise agreement may contain additional confidentiality obligations where applicable.
21. Governing Law
These Terms shall be governed by the laws of [STATE/COUNTRY], subject to applicable law. Courts in [CITY, STATE, COUNTRY] shall have jurisdiction, subject to applicable law. [HAVE COUNSEL REVIEW THIS FOR YOUR COMPANY'S ACTUAL JURISDICTION.]
22. Changes to These Terms
We may update these Terms. Material changes may be communicated through the Service, email, or another appropriate method. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
